Job Description

Marsh is seeking candidates for the following position based in the Toronto office:Financial and Strategic M&A Advisory AssociateWe are searching for a well-rounded candidate for our Toronto location working with our Private Equity clients and learning the Insurance M&A industry. This is a great position for someone with the right skills and knowledge to grow and expand their career. The Private Equity Mergers & Acquisitions (PEMA) Team is responsible for Pre-Acquisition Commercial Insurance Due Diligence and Insurance Placement Consulting Services.What can you expect

  • Conduct an overall evaluation of target companies existing and historical insurance programs and determine if coverages are appropriate or if additional coverages should be considered post-close.
  • Identify risk and insurance related-issues that may impact transaction value.
  • Project estimated annual cost of risk for a target company’s insurance program on a post-closing basis and provide a comparison of such against prior year costs.
  • Identify current insurance-related outstanding liabilities and determine if an adjustment to balance sheet may be warranted.
  • Target acquisitions are typically based in Canada and the US
  • Issue Insurance Due Diligence Report to investor, which will be reviewed by the Buyer (Private Equity or Commercial) Investment Committee

We will count on you to:
  • Assist and support Marsh Senior Insurance Due Diligence Project Managers on all areas of insurance due diligence projects
  • Assist in analyzing insurance claims data and loss projections of the target business, and identify any potentially problematic trends/patterns.
  • Review litigation history. Ensure all relevant claims have been properly tendered to applicable insurer.
  • Assist in the review of insurance provisions in the draft acquisition purchase and sale agreements.
  • Assist with recommendations with respect to pre and post-closing coverage for Directors & Officers liability.
  • Work with brokers to assure all pre-closing insurances are in place in time for closing.
  • Assist in drafting a written report summarizing Marsh PEMA’s analysis, advice and recommendations
What you need to have:
  • 1-3 years of professional insurance experience preferred, ideally with a leading property casualty insurer or broker Property & Casualty Insurance
  • P&C License required or to be obtained
  • Bachelor’s Degree in related field
  • Outstanding written and oral communication skills.
  • Superior work ethic and time management skills.
  • Ability to network and build relationships with clients, colleagues, insurance carriers and prospects
  • Flexibility in work hours given M&A environment and the ability to travel
What will make you stand out:
  • The ability to quickly learn and absorb an understanding of property and casualty insurance programs across industries, both guaranteed cost as well as loss sensitive programs with respect to casualty.
  • An understanding of Representations and Warranties insurance and surety bonds is a plus.
  • Knowledge of complex client risk management issues and experience in a client-facing role
