Job Description

The Vice-President, Assistant General Counsel role is an individual contributor role with JPMorgan Chase & Co.s dynamic Corporate & Investment Bank and Commercial Banking departments. This unique position will support lines of business in and into Canada covering Canadian and cross-border activity across traditional investment banking, lending, markets and securities services as well as new financial products and services. Supporting business and functional teams, this broad role will also provide advice on privacy, AML and general corporate matters.Responsibilities:

  • Providing banking and securities-related legal advice to Canadian and Canadian and cross-border businesses with activities in and into Canada
  • Transactional documentation support, including review and comment on credit and lending documentation
  • Advising on legal, structural and risk issues and review; drafting, review and negotiation of indicative term sheets, transaction agreements and related documentation; and general contractual advice and guidance on Canadian-specific issues
  • Advising on Canadian-specific requirements under Privacy, AML, Sanctions, anti-trust, and cross-border laws and regulations
  • Legal support for any Canada-related question in or into Canada, or Canada law governed documentation
  • As part of Country Counsel team, manage day-to-day requests for legal advice, guidance, support, and interpretation from business, front-office and product legal specialists in Canada and other jurisdictions
  • Legal review of new product and/or new process initiatives, business operational restructures, sales or acquisitions
  • Assisting the business in enhancing its control environment and related policies and procedures, both domestically and cross-border across all products; participate in business risk analyses and decision-making and assisting in the implementation of decisions, including new or enhanced policies and procedures
  • Participation in development and implementation of regulatory compliance policies and procedures and internal controls and other processes, both within and cross-line of business
  • Participating in the training of internal constituencies (e.g. front office, bankers, credit, operations, controls, compliance) on general legal principles
  • Managing outside counsel management, engagement approvals and oversight for Canada and non-Canadian teams, law firm conflict waivers, etc.
Qualifications:
  • Minimum of 6 years of experience at a law firm and/or in-house legal department at a large bank, broker or financial services company
  • Bachelor of Laws/ JD Degree and a license to practice law in Canada
  • Broad based level of knowledge in banking and securities legislation and transactions, and investment banking products and services
  • Candidate must have a general knowledge of credit and lending issues, transactions and documentation and Canadian banking laws.
  • Candidate should have excellent skills in communicating with internal legal, compliance and business colleagues as well as external counsel, other dealers and financial institutions, administrative agents, etc., and in negotiating with any of these constituencies when necessary.
