Job Description

About the Role:A dynamic and reputable law firm based in Kelowna, British Columbia, is seeking a talented M amp;A/Finance Solicitor to join their growing corporate team. This is an exciting opportunity for a driven lawyer with experience in mergers and acquisitions and corporate finance to work on high-profile, complex transactions across a range of industries, including technology, real estate, financial services, and more.The firm offers a supportive and collaborative work environment, allowing you to have direct client contact and lead major deals, all while maintaining a healthy work-life balance. You will play a key role in providing strategic legal advice, managing transactions from start to finish, and mentoring junior lawyers.Key Responsibilities:

  • Lead M amp;A Transactions: Manage the full life cycle of mergers, acquisitions, corporate restructurings, and other transactions, including structuring, negotiation, due diligence, drafting, and closing.
  • Corporate Finance Advisory: Advise on corporate finance matters such as debt and equity financing, venture capital, private placements, and structured finance.
  • Due Diligence: Oversee the due diligence process, identify legal and business risks, and provide pragmatic solutions to clients.
  • Client Relationship Management: Build and maintain strong, ongoing relationships with clients, acting as a trusted advisor and delivering business-focused legal solutions.
  • Negotiationsamp; Drafting: Lead negotiations and draft complex transactional documents, including acquisition agreements, financing agreements, and shareholder agreements.
  • Cross-Practice Collaboration: Work closely with colleagues across practice areas (e.g., tax, real estate, employment) to provide clients with integrated legal services.
  • Mentorship: Mentor and guide junior associates, contributing to their professional growth and helping them develop their legal skills.
  • Market Leadership: Stay up-to-date with market trends, legal developments, and industry changes, and contribute to thought leadership initiatives for the firm.
Qualificationsamp; Experience:
  • PQE: Minimum 5 years of experience in M amp;A, corporate law, and/or corporate finance, ideally gained in a reputable law firm or in-house setting.
  • Expertise: Significant experience in handling complex M amp;A transactions, private equity, joint ventures, and corporate finance matters.
  • Local Knowledge: Familiarity with British Columbia and Canadian legal and regulatory frameworks, including corporate governance, securities law, and tax law.
  • Transaction Management: Proven track record of managing and leading multi-faceted transactions, both domestic and cross-border.
  • Client-Focused: Strong ability to build client relationships and provide business-savvy legal advice that aligns with client objectives.
  • Negotiationamp; Drafting Skills: Excellent skills in negotiation and drafting of legal agreements, with a strong ability to balance legal risks and business needs.
  • Educational Background: Law degree from an accredited Canadian law school or foreign equivalent. Admission to the Law Society of British Columbia (or eligibility for admission) is required.
