About OmersFor more than 60 years, OMERS has humbly served as the steward and guardian of the retirement income of more than half a million active, deferred and retired municipal employees from communities across Ontario.With a world-class team of investors and professionals across offices in North America, Europe, Asia and Australia, OMERS has generated $124.2 billion in net assets, as of December 31, 2022, making it one of the largest defined benefit pension plans in Canada.The RoleBased in Toronto or New York and reporting to the Senior Vice President, Global Head of Compliance and Associate General Counsel, Christine Sharp, the Vice President Legalamp; Compliance, Infrastructure will have accountability for the North American and European compliance function for the OMERS Infrastructure business. With 80+ investment professionals, OMERS Infrastructure currently has $30B of assets under management and 33 investments across 5 continents. Unlike OMERS other asset classes, a key component of OMERS Infrastructure #39;s strategy includes co-investing with third party investors and raising external third-party capital resulting in a SEC and FCA registration as well as increased complexity and additional critical compliance requirements.This executive will take a leading role, together with their counterpart supporting the Asia Pacific region, in the build/evolution of a robust, sophisticated global compliance framework (policies, procedures, tools) and strategy to support OMERS Infrastructure #39;s growth in size and complexity. More specifically, this leader will be accountable for:Team LeadershipLead, mentor, support and develop a geographically dispersed team of lawyers and compliance professionals in London (including the CCO for the FCA regulated subsidiary) and New York.Business Relationships/Trusted Advisor

  • Liaising with business leaders across OMERS. Develop depth of knowledge and immerse in the business to be seen as a trusted advisor with the investment leaders in OMERS Infrastructure.
  • Continue to build on the strong collaborative environment with colleagues locally and abroad including the Vice Presidents Compliance in the other asset classes and in Singapore; peers in pension administration, legal colleagues supporting Infrastructure.
  • Serve on the Infrastructure Third-Party Capital Committee.
Compliance Monitoring Program
  • Coordinate the development, review and administration of policies and procedures specific to Infrastructure business.
  • Act as the Chief Compliance Officer for a Securities and Exchange Commission (SEC) regulated subsidiary. Manage the legal and compliance regulatory and reporting requirements to the SEC and other applicable regulators.
  • Manage audits and investigations into regulatory and compliance issues.
  • Monitor new and emerging regulatory and legal requirements and instituting changes to the compliance program as necessary.
Investment Transaction Support
  • Support the deal teams on transaction due diligence, including Anti-Terrorist Financing, Anti-Money Laundering and Sanctions due diligence and Anti-Bribery and Corruption due diligence and risk assessments.
  • Provide asset management compliance support and ongoing compliance monitoring.
  • Support third party capital programs and asset syndications including providing regulatory advice, review of marketing materials, presentations and website content to ensure compliance with regulatory requirements.
Policy Management and Training:
  • Monitor new and emerging regulatory and legal requirements and instituting changes to the compliance program as necessary.
  • Participate on behalf of the investment businesses in the development of enterprise-wide policies for OMERS as it expands its global footprint.
  • Support the compliance training program.
Candidate ProfileThe successful candidate will be a progressive and strategic compliance leader. The ideal candidate is a seasoned compliance leader with 10+ years of similarly senior experience having been responsible for helping to build or materially evolve the foundations of a sophisticated compliance program.
  • Ideally this experience has been gained in an asset/investment management organization and this leader brings extensive knowledge of the capital markets regulatory framework.
  • This executive may have commenced their career in a top tier law firm or currently serve within a firm with a practice specialization in the regulatory arena and is expert in advising clients on operationalization.
  • Experience leading a team of legal and compliance professionals to raise the bar of robust compliance strategy.
  • While strong technical foundation is a sine qua non, this executive will be equally skilled at understanding the business context and is viewed by their organization as a trusted advisor to the business.
  • This individual will have experience in a fast-moving environment with various regulatory regimes and regulators but, critically important to bring experience in the SEC regime.
