Are you an entrepreneurial commercial lawyer with 3-5 years of legal experience, looking for a key role in a pre-IPO, hyper-growth unicorn Do you love to align legal strategy with business goals and deliver creative, pragmatic solutions to drive commercial resultsJob SummaryWe are expanding our legal team at GeoComply with the addition of an Associate Commercial Counsel. This is not your typical in-house role. Sure, it has all of the usual legal responsibilities, but it’s also an opportunity for you to make a mark at a rapidly growing international tech company and support our collective efforts to drive product innovation, expansion into new markets and verticals, and potential IPO and M&A opportunities. Working collaboratively with our Legal leadership team and business stakeholders, you will combine your legal expertise, business aptitude, and insight to support a world-class, agile commercial and transactional legal function.What You Will Be Doing

  • Partner with business and product development teams to support ongoing innovation and expansion under Legal by Design service delivery model;
  • Support comprehensive and coordinated legal activities across commercial functions, including sales, marketing, customer success, and product development;
  • Review, draft, and negotiate complex commercial agreements, including non-disclosure, customer, service, license, consulting, vendor, and data processing agreements;
  • Support the Legal leadership team in creating and continuously improving contract templates, playbooks, and processes to support business teams and elevate service levels;
  • Provide strategic guidance to assess and mitigate legal and business risk;
  • Conduct or coordinate research on a variety of legal issues;
  • Engage with internal and external personnel and resources to improve effectiveness and efficiency of legal services and fulfill our mission: to safeguard the future.
About You
  • Bachelor or Graduate Law Degree (LLB, LLM, JD); must be a member in good standing of the Bar Association in a relevant jurisdiction in Canada or the United States.
  • 3+ years of relevant work experience, ideally in both law firm and in-house environments.
  • Commercial transactional experience, with emphasis on reviewing and drafting a variety of complex commercial agreements.
  • Able to work both independently and collaboratively, meeting demanding deadlines and managing complex projects in a fast-paced environment.
  • Highly organized and exceptionally responsive.
  • Sound and practical business judgment with ability to think strategically and establish trusted relationships with business teams.
  • Proven ability to balance competing risks and priorities.
  • Solid communication and presentation skills, both verbal and written, to internal and external stakeholder audiences. Active listener who is adept at understanding competing agendas, building consensus and rapidly moving issues forward in a constructive manner.
  • Passion, hunger, drive, and the ability to regularly handle a high volume of work along with tight deadlines.

  • Have experience working in high growth tech companies.
  • Have experience in regulated industries.
  • Have experience with Software as a Service (SaaS).
