What you’ll do:You will provide legal support to the European team and other global business activities, as required. Based within one of Northlands existing European offices, you will be required to travel within Europe to support Northland’s European development team.Specifically, you will:1. Negotiate, review and revise, as well as instruct external counsel on the preparation of a range of transactional agreements relating to project acquisitions, sell-downs and project financings, such as negotiation and preparation of Non-Disclosure Agreements, MOUs, non-binding and binding offers and term sheets, Joint Development Agreements, Share Purchase Agreements, Shareholder Agreements and Partnership/JV Agreements; and2. Advise (or procure external legal advice for) the European development team on legal aspects of the full spectrum of the project development process including: contracts for project construction/operations; legislation on revenue support and offtake schemes (e.g. CfDs); permitting; lease / option for lease and grid agreements; construction, procurement and O&M / asset management phase agreements; ongoing compliance with project financing arrangements.Key ResponsibilitiesProvide support for the Commercial & Legal Manager, Development – Europe and assist with management of legal matters impacting Northland’s European development business with a primary focus on supporting the European development team.Negotiate review and revise a broad range of transactional, development and other commercial agreements and legal documents as required to support the European development team.Provide advice to business units on a variety of contract management matters, including defaults, contractual rights, force majeure, consents and amendments.Instruct external counsel regarding the preparation of transactional and commercial agreements as required to support the activities of the Europe development team, monitor spend and quality.Ensure all legal documentation is compliant and conforms to Northland’s guidelines, terms and conditions; assess and find solutions to legal risks; track findings and report on any unfavorable terms and conditions.Provide occasional support to Northland’s other global businesses activities.Who you are:A Strategic Thinker: You have a proven ability to keep a view of the bigger picture whist ensuring that local deadlines are achievedIndependent: You set your own timescales and milestones to ensure you meet your objectives. Relevant professional legal qualifications in jurisdiction(s) of practice would be beneficial but not mandatory.Corporate/Commercial experience including expertise in the preparation, review and negotiation of legal documentation in connection with infrastructure and renewable projects’ development, construction and financing.Experience in development and project financing of renewable energy (ideally including offshore wind) and/or other large infrastructure projects.DisclaimerThis document is a guide.
