You will provide proactive, solution-oriented legal and strategic advice and guidance to Royal Bank of Canada and its global subsidiaries with respect to complex third party transactions, with an emphasis on technology and other intellectual property licensing transactions, including: engagement, due diligence and risk assessments, transaction structuring, negotiating and drafting complex third party contracts, and handling third party management issues. You will also provide expert advice to business and functional partners on contract interpretation, legal risks and mitigation strategies associated with third party transactions.What will you do

  • Advise RBC and its subsidiaries with respect to structuring and documenting complex third party transactions involving technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS and data license agreements, cloud services, professional services, outsourcing arrangements, telecom arrangements, subscription and market data service agreements, etc.);
  • Provide efficient, timely and expert advice and guidance to business and functional partners with respect to complex third party transactions and contracts (i.e. strategy; contract negotiation, drafting and management, contract interpretation and disposition, etc.), legal risks and mitigation strategies, and supplier engagement and relationship issues;
  • Act as a lead partner to RBC’s centers of governance (e.g., Privacy; Intellectual Property; Information Technology Risk; Tax) to develop and update RBC’s requirements for third parties and third party contracts, ensuring such requirements are consistent with applicable laws, regulations and regulatory guidance and aligned with market standards and best practices;
  • Manage the implementation of new laws and regulations; and develop training for business partners, functional partners and junior colleagues as needed;
  • Lead the development and ongoing refinement of RBC’s third party templates, standards, policies and procedures;
  • Manage external counsel and optimize quality and cost of services;
  • Supervise and manage team of junior lawyers and paralegals as required; and
  • Lead special projects as needed.
What do you need to succeedMust-have
  • Law degree (LLB or JD) from a recognized law school; admitted to practice law in the US and/or Canada ;
  • 10+ years’ experience in corporate commercial contract drafting and negotiating at a top tier law firm or major corporation;
  • Strong foundational knowledge of substantive third party commercial laws and terms (e.g., confidentiality; indemnities; limitations of liability; intellectual property) and financial services laws as they relate to third parties (e.g., privacy/cybersecurity, anti-money laundering, consumer banking);
  • Ability to analyze legal risk in context of business realities; and
  • Strong leadership capabilities
Nice-to-have
  • In-house experience at a large, multi-national bank or diversified financial institution;
  • Strong communication skills (written and verbal) and ability to build relationships across multiple areas of the business;
  • Ability to work with a high degree of autonomy, handle large volumes of work and balance competing demands; and
